Product · Review

Get your lawyer or accountant to review a term sheet without an account or an email chain.

Send one version of a term sheet to your counsel or accountant by a private link. They read exactly that version, comment on any term, attach files and mark it approved or ask for changes. Your team sees every reply in one thread on the deal, with a notification when something arrives.

Review links are included in every paid plan. VentureFract is not a law firm or an accounting firm and gives no legal, tax or accounting advice.

What it replaces

Attachments, versions and "which one did they mean".

The version problem

A term sheet goes out as an attachment, comes back with edits in another file, and nobody is sure which version the advice was about.

Advice that lives in someone's inbox

The reply from counsel sits in one person's email, so the rest of the team and the deal record never see it.

Another login to manage

Asking an outside adviser to create an account for one review is friction, and one more thing to remove later.

How it works

One version, one private link, one thread.

1. Send a version

Choose a saved term sheet version, say whether the reviewer is legal counsel or an accountant, and add a note. They receive an email with a private link.

2. They review, with no account

The link opens a page showing only that version. The reviewer comments on any term, attaches files and marks the review as in review, changes requested or approved.

3. You reply in the same thread

Replies from your team reach the reviewer by email. Every message and file stays on the deal, tied to the version it was about.

4. Replace or close the link

Send the link again, issue a new one that makes the old one stop working, or close the review when it is done.

Safe by design

A reviewer sees one review and nothing else.

  • The link opens a single review: the term sheet version it was sent for, the messages and the files of that review
  • Only a fingerprint of the link is stored, and a link that is unknown, expired, replaced or closed gets the same plain refusal
  • Files go straight to private storage, are checked by type and content, and are limited in size
  • You are notified when a reviewer comments, attaches a file, approves or asks for changes
Questions

Common questions.

Does my lawyer or accountant need a VentureFract account?

No. They use the private link in the email. They see only the one review it was sent for.

Which term sheet version does the reviewer see?

The exact version you chose when you sent it. If you save a newer version, you can send that one as a new review so the advice always matches the document.

Can I stop a reviewer's access?

Yes. You can close the review, or send a new link that replaces the old one so the old link no longer opens.

Is this an e-signature tool?

No. It records review comments, files and the reviewer's approval status. It does not collect legally binding signatures.
